Where is DigiU registered?
In 2020, we registered the parent company DigiU Holdings Ltd in the jurisdiction of the European Union (Cyprus) and are currently in the process of consolidating all business assets and intellectual property in this company. We also registered an SPV company DigiU Finance Ltd in Cyprus.
What securities do the DigiU partners receive?
The company's Charter states that DigiU Holdings Ltd. issued 200 billion shares.
10% stake in DigiU Holdings Ltd (i.e. 20 billion shares) will be sold through crowdfunding. This 10% stake is owned by DigiU Finance Ltd.
For this block of shares, DigiU Finance Ltd issued securities - notes, at the rate of 1 note = 1 share. The purpose of the notes, according to the emission prospectus, is to pay the owner of the note the return on shares of DigiU Holdings Ltd - dividends and other possible payments. It is these notes that the partners of the DigiU project receive!
What is ISIN and why is it needed?
ISIN is the International Security Identification Code. The ISIN code consists of 12 digits. It serves as an identifier of the security during transactions and other operations with them. On February 25, 2021, the notes issued by DIGIU FINANCE LTD were assigned ISIN number: CY0149382117. The entire issue of DigiU securities - notes - has one ISIN number.
ISIN is a confirmation that we are fully legal in the registered jurisdiction, our documents have been carefully studied and approved by the regulator's lawyers.
The ISIN is assigned by the National Numbering Agency (NNA). Each country has its own NNA. In Cyprus, this role is performed by the Cyprus Stock Exchange. Search on these sites is accessible for anyone. To access the search, a person must be authorized.
DigiU securities are notes. What type of note does DigiU have? Structural with protection or not?
DigiU notes are not structural. The underlying asset of the note is the DigiU.Holdings share. Notes’ yield = DigiU shares’ yield.
Where can I see the financial statements of the company?
DigiU's legal department is currently structuring the business in accordance with European law. Upon completion of this process, it will be possible to publish the audited financial statements of the holding company DIGIU FINANCE LTD in accordance with the rules of the European Union. Until that time, we do not have the right to publish information so as not to violate the requirements of the law.
