Join Ranks of Privileged Investors

During a webinar, DigiU’s CEO discussed the company’s reorganization and the distribution of privileged shares within the ecosystem. Here are the key points and the dates for the three privileged share snapshots.

• 2025 – the year of legal reorganization.
• Goal: ensure stability, transparency, and growth opportunities.
• Focus: selecting a jurisdiction, protecting investors, and structuring assets.

Why this matters for the ecosystem:

• The right structure and jurisdiction are the foundation for raising investments and scaling.
• Legal protection for investors is a top priority.
• Preparing for various scenarios: IPO, tokenization, or a closed model.

Post-reorganization allocation:

• 51% or more – team;
• up to 30% – privileged investors;
• 19% or more – reserve fund.

All shares paid in full before July 1, 2025, will gain privileged status.

Snapshot dates:

• 01.05.2025, 00:00 (UTC).
• 01.06.2025, 00:00 (UTC).
• 01.07.2025, 00:00 (UTC).

Four share groups eligible for snapshots:

• Group #1: shares paid in full between 01.11.2019 – 09.12.2024, 23:59 (UTC).
• Group #2: shares paid in full between 10.12.2024 – 30.04.2025, 23:59 (UTC).
• Group #3: shares paid in full between 01.05.2025 – 31.05.2025, 23:59 (UTC).
• Group #4: shares paid in full between 01.06.2025 – 30.06.2025, 23:59 (UTC).

This approach balances the interests of investors and the company.

Any active overdue payments during a snapshot will disqualify you from participation.

Any investor can participate in all snapshots if their purchase dates fall within the specified periods.

A calculation (using a mechanism similar to X11) will be performed for all shares paid in full during specified periods.

Shares paid in full after 01.07.2025, will be classified as ordinary. Make sure to repay an installment plan by 01.07.2025, to join the ranks of privileged investors.

The number of shares for recalculation will be determined after 01.07.2025, and announced between 14 and 20.07.2025.

Share recalculation and distribution will take place between 14 and 20.07.2025.
